1.1. Key terms
- "Platform" means the ATL Portfolio web application and related services.
- "School" means the educational institution that subscribes to the Platform.
- "Authorised User" means a student, teacher, coordinator or administrator the School has permitted to use the Platform.
- "School Data" means personal data, educational records, evidence, reflections, assessments, files and other content submitted to or generated within the Platform on behalf of the School.
- "ATL Portfolio" means the product and service; it is not a separate legal entity.
- "Provider", "we", "us", "our" means Cross Sword Limited, trading as LearnStudio, which provides ATL Portfolio.
1.2. Agreement documents and precedence
These Terms, the Data Processing Agreement (DPA), the School's selected plan or order confirmation, and any signed order form or written amendment together form the agreement for the Platform. If they conflict, a signed order form or written amendment takes priority for its specific commercial terms, the DPA takes priority for processing of School-controlled personal data, and these Terms apply otherwise.
2.1. Account creation
Accounts are created by invitation from a School administrator or by signing up with a verified school email domain. Only users with a recognised school email domain may access school data.
2.2. Account security
You are responsible for keeping your sign-in details confidential and for all activity under your account. Notify your school administrator or us immediately if you believe your account has been compromised.
2.3. Age requirements
The Platform is designed for students aged 5–18. Schools are responsible for obtaining any parental or guardian consent required by applicable law before creating student accounts.
3.1. Permitted use
You agree to use the Platform for lawful educational purposes only and to provide accurate information when creating content or evidence.
3.2. Conduct
You will not misuse the Platform, attempt to access data you are not authorised to view, or interfere with the Platform's security or operation.
4.1. Administration
The School is responsible for managing its user accounts, assigning roles, and removing access when a user leaves or no longer requires it.
4.2. Consent and lawful basis
For School-controlled educational personal data, the School generally acts as controller and is responsible for establishing an appropriate lawful basis, providing required notices, obtaining consent where consent is legally required, and complying with applicable data protection law. Cross Sword Limited generally acts as processor for that processing under the DPA and may act separately as controller for limited billing, account administration, security, support, legal-compliance and consented service-analytics purposes described in the Privacy Policy.
4.3. Accuracy of data
The School is responsible for the accuracy and appropriateness of the content uploaded by its users.
You will not, and will not permit others to:
- Use the Platform to store unlawful, harmful, defamatory or infringing content.
- Attempt to gain unauthorised access to another School's data or to platform systems.
- Reverse engineer, scrape or disrupt the Platform or its underlying services.
- Use the Platform to send unsolicited communications.
- Upload content that infringes the intellectual property rights of others.
We may suspend access where we reasonably believe a breach has occurred, and will notify the School administrator where possible.
6.1. Platform ownership
The Platform, its software, design and LearnStudio/ATL Portfolio brand assets are owned by or licensed to Cross Sword Limited. No intellectual property in the Platform itself is transferred to users or Schools by these terms.
6.2. User content
As between the parties, the School and its Authorised Users retain their existing rights in content they create and upload. The School authorises us to host, copy, process, transmit and display School Data only as necessary to provide, secure and support the contracted service and as otherwise permitted by the DPA and applicable law.
7.1. Subscription licence
Subject to these terms and an active subscription, we grant the School a non-exclusive, non-transferable licence to allow Authorised Users to access and use the Platform for the duration of the subscription.
8.1. Plans and pricing
Schools subscribe to a published plan (Starter, Professional or Enterprise) or another plan confirmed in writing. The applicable price, currency and plan limits are shown at checkout or in the School's order confirmation. Applicable taxes may be added where required by law.
8.2. Billing
Paid subscriptions are billed annually in advance through Stripe unless a signed order form states otherwise. The School authorises the payment method supplied at checkout to be charged for subscription fees when due. Billing records and invoices are made available through the applicable Stripe or Platform billing flow.
8.3. 28-day free trial
Eligible new Schools may start a 28-day free trial through Stripe Checkout. A payment method is collected at signup, but the subscription fee is not charged during the trial. Unless the School cancels before the trial ends, the selected annual paid subscription begins automatically at the end of the 28-day trial and the applicable annual fee is charged to the payment method on file.
8.4. Renewal and cancellation
Paid subscriptions renew automatically for successive annual periods at the then-applicable subscription price unless the School cancels before the next renewal charge. Cancellation during a paid term stops future renewal and ordinarily takes effect at the end of the current paid period; fees already paid are non-refundable except where required by law or expressly agreed in writing.
8.5. Founding School price protection
If the School's checkout or order confirmation expressly identifies it as receiving Founding School price protection, the base subscription price of the selected plan is held for the School's first three years of continuous paid subscription. The protection does not apply to a different plan, additional services, taxes, or charges outside the protected base subscription unless expressly stated in writing.
9.1. Service availability
We strive to provide a reliable service. The Platform is accessed over the internet and may occasionally be unavailable due to scheduled maintenance, updates or factors outside our control.
9.2. Maintenance
We will use reasonable efforts to schedule maintenance at low-usage times. We do not guarantee uninterrupted access and are not liable for temporary unavailability.
10.1. Rights in School Data
As between the parties, the School and its Authorised Users retain their existing rights in School Data. The School controls School-provided educational personal data and Cross Sword Limited processes that data on the School's behalf as described in the DPA.
10.2. Export
The School may request an export of School Data in an available portable format during the subscription and as part of offboarding. The scope and format depend on the data types and export capabilities then available.
10.3. Deletion
On verified instruction, or at the end of the subscription, School-controlled personal data is returned and/or deleted in accordance with the DPA and documented retention schedule, subject to lawful retention requirements and residual provider backup cycles.
11.1. By the School
The School may cancel its subscription at any time. Access continues until the end of the current paid period.
11.2. By us
We may suspend or terminate access for material breach of these terms, non-payment, or where required to protect the security or integrity of the Platform.
11.3. Effect of termination
On termination, we will follow the School offboarding process in the DPA and retention schedule. The School may request return/export, deletion, or both in sequence. School-controlled live application data is then deleted or irreversibly anonymised in accordance with authorised instructions and applicable legal requirements. Residual provider backups follow the applicable provider recovery cycle.
12.1. Confidential information
Each party will use the other party's non-public confidential information only for the purposes of the agreement, protect it using reasonable care, and disclose it only to personnel, professional advisers and service providers who need it and are subject to appropriate confidentiality obligations, or where disclosure is required by law.
12.2. School Data
School Data is treated as confidential information. Additional obligations for personal data, including processor confidentiality requirements, are set out in the DPA.
13.1. Aggregate liability cap
To the maximum extent permitted by law, Cross Sword Limited's aggregate liability arising out of or in connection with the Platform and this agreement is limited to the subscription fees paid or payable by the School for the twelve-month period in which the event giving rise to the claim occurs.
13.2. Non-excludable liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Any separate liability terms expressly agreed in a signed order form or written amendment take precedence.
Unless a signed order form expressly states otherwise, this agreement and any non-contractual obligations arising from it are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. This does not disapply mandatory data protection, consumer, public-law or other statutory protections that apply regardless of contractual choice of law.
We may update these terms from time to time. We will notify School administrators of any material changes via email or through the Platform. Continued use after changes take effect constitutes acceptance of the updated terms.
